Version 1.0
1. About the Programme
The Adherent Referral Programme (“Programme”) enables eligible participants to refer organisations that may benefit from Adherent’s products and services.
Where a valid Referral results in a Qualified Opportunity that subsequently becomes a Closed Won customer and the initial subscription payment is received by Adherent, the Referrer may be eligible to receive a Reward.
Participation is voluntary and subject to these Terms.
2. Eligibility
The Programme is currently open only to:
- Existing Adherent Customers; and
- Approved Adherent Knowledge Partners.
- Industry professionals: associations, consultant, law firms
Adherent may amend eligibility at any time and may reject, suspend or remove any participant from the Programme where Adherent considers it appropriate.
3. Making a Referral
3.1 Approved Referral Process
A Referrer wishing to participate in the Programme must submit a Referral using the referral method designated by Adherent from time to time (the “Approved Referral Process”).
The Approved Referral Process may include, without limitation:
- an online referral form;
- a dedicated referral email address;
- a customer or partner portal;
- a CRM-integrated referral process; or
- any other submission method designated by Adherent.
Referrals submitted through other channels may, at Adherent’s sole discretion, be accepted or rejected.
3.2 Referral Information
To be considered valid, a Referral must include sufficient information to enable Adherent to identify and contact the prospective customer, including, where reasonably available:
- the prospective customer’s organisation name;
- the name, job title and business contact details of an appropriate contact;
- the Referrer’s relationship with the prospective customer; and
- any additional information reasonably requested by Adherent to assess the Referral.
3.3 Referrer Confirmation
By submitting a Referral, the Referrer confirms that:
- they are authorised to provide the information submitted;
- they have a lawful basis for sharing any personal data with Adherent;
- the information provided is accurate and complete in all material respects to the best of their knowledge; and
- the Referral complies with these Terms and all applicable laws, including anti-bribery, anti-corruption, sanctions, procurement, privacy and marketing laws.
3.4 Acknowledgement
A Referral will be deemed received only when Adherent acknowledges receipt.
Acknowledgement confirms only that the Referral has been received and does not:
- constitute acceptance of the Referral;
- confirm eligibility for the Programme;
- create any entitlement to a Reward; or
- constitute a Qualified Opportunity.
3.5 Referral Review
Adherent will review each Referral in accordance with its internal referral process to determine whether it satisfies the Programme requirements.
As part of this review, Adherent may verify, among other things:
- whether the prospective customer is already known to Adherent;
- whether an active sales opportunity already exists;
- whether the Referral satisfies these Terms;
- whether any conflict of interest, procurement restriction or legal or regulatory issue applies; and
- whether the Referral otherwise meets Adherent’s qualification criteria.
Adherent may request additional information from the Referrer during the review process.
4. When a Reward is Earned
Following completion of the review described in clause 3, Adherent will determine, in its sole discretion, whether a Referral constitutes a Qualified Opportunity. Adherent’s determination shall be final.
A Reward becomes payable only where:
- the Referral becomes a Qualified Opportunity;
- the opportunity is Closed Won;
- the customer executes an agreement with Adherent that remains in effect and has not been cancelled, rescinded or refunded; and
- Adherent receives the initial subscription payment in cleared funds and such payment is not subject to refund, chargeback, credit or set-off.
Submission of a Referral does not guarantee a Reward.
5. Rewards
Rewards are normally provided as Tremendous Gift Cards.
Rewards:
- are personal to the recipient;
- are not transferable;
- are not redeemable for cash unless required by law;
- are subject to the applicable Tremendous redemption terms.
Adherent may substitute an alternative reward of equivalent value, and may withhold, delay or cancel any Reward where payment would breach these Terms, applicable law, internal policy or any third-party terms applicable to the Reward.
6. Exclusions
Rewards will not be paid where:
- the prospect is already known to Adherent;
- another Referral has already been accepted;
- the Referral relates to an affiliate, parent or subsidiary of the Referrer;
- the Referrer has influence over the referred organisation’s procurement decision or is an employee, officer, agent, consultant or representative of the referred organisation;
- payment would breach applicable law, procurement rules or employer gift policies;
- the Referral is fraudulent or misleading; or
- the Referral otherwise creates a legal, regulatory, reputational or commercial risk for Adherent.
7. Privacy
By submitting a Referral, the Referrer confirms that:
- they are authorised to provide the contact details and have provided any notices and obtained any consents required by applicable law;
- they have a lawful basis for doing so;
- to the best of their knowledge the recipient would reasonably expect to receive an introductory business communication from Adherent and has not opted out of receiving such communications.
Referred individuals will not automatically be added to Adherent marketing lists.
Where a Reward becomes payable, Adherent may share the recipient’s name and email address with Tremendous solely for the purpose of issuing the Reward.
8. Intellectual Property
Participants may not use Adherent’s name, logo or marketing materials except as authorised by Adherent in writing and in accordance with any brand or usage guidelines provided by Adherent from time to time.
Participants must not present themselves as acting on behalf of Adherent and have no authority to bind Adherent, make representations or warranties on Adherent’s behalf, or negotiate or conclude any agreement for Adherent.
9. Programme Changes
Adherent may amend, suspend or withdraw the Programme at any time, including by terminating any participant’s participation or changing these Terms with prospective effect.
No amendment will affect Rewards that have already become payable, unless the Reward became payable as a result of fraud, misrepresentation, error, breach of these Terms or circumstances that would make payment unlawful or improper.
10. Liability
To the fullest extent permitted by law, Adherent shall not be liable for any indirect or consequential loss arising from the Programme, including loss of profit, revenue, goodwill, opportunity, data or anticipated savings, and Adherent’s aggregate liability arising out of or in connection with the Programme shall not exceed the value of the Reward payable for the relevant Referral.
Adherent’s decisions regarding Programme administration are final. The Referrer shall indemnify Adherent against any losses, liabilities, claims, costs and expenses arising from the Referrer’s breach of these Terms, unlawful conduct, unauthorised statements or use of Adherent materials, or submission of personal data without the required authority, notices or lawful basis.
11. Governing Law
These Terms are governed by Irish law.
